Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the Sheelix website at sheelix.com and the services offered there (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. Who we are & what we offer

Sheelix is operated by Sheelix LLC, a California limited liability company ("Sheelix", "we", "us", or "our"), founded by Sheel Parekh. The Services currently include: a public reviews section; Sheelix Games, our games label (including pre-release alpha access to titles such as Grimlix); and information about our other products. Cliplix, our clipping tool, is operated at a separate domain (clips.sheelix.com) and is governed by the terms presented there.

3. Eligibility

The Services are intended for users aged 13 and older. By using the Services you represent that you are at least 13 years old and that you have the legal capacity to enter into these Terms. If you are under the age of majority in your jurisdiction, you must have your parent or guardian's permission.

4. Accounts & sign-in

Some features (such as posting a review) require you to sign in with a third-party account (Twitch or Google). You are responsible for activity that occurs through your sign-in and for keeping your account secure. We may suspend or terminate access that we reasonably believe is being misused or that violates these Terms.

5. Sheelix Games — Alpha access

We may invite you to test pre-release ("alpha") builds of our games. Alpha access is subject to the following:

  • Pre-release & "as is". Alpha builds are experimental and unfinished. They may contain bugs, change at any time, be unavailable, or be discontinued, and could cause crashes or data loss. You use them at your own risk.
  • Invitation-only, personal access. Access is granted via a one-time code that is personal to you and non-transferable. Do not share your code, and do not redistribute, upload, resell, or otherwise make the build files available to anyone else.
  • Sharing impressions is fine. You may stream, screenshot, or describe your experience with the alpha unless we tell you otherwise — but the downloadable build files themselves remain private.
  • No reverse engineering. Except to the extent this restriction is prohibited by law, you may not reverse engineer, decompile, disassemble, or attempt to derive the source code of any build.
  • We may revoke access. We can suspend or revoke alpha access at any time, for any reason, including at the end of a testing period.
  • Free of charge. Alpha access is currently provided free; no purchase is required and none is implied.

6. Feedback

If you submit feedback, bug reports, suggestions, or ideas ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate that Feedback into our products and services without any obligation, attribution, or compensation to you. You represent that your Feedback is your own and does not violate the rights of any third party. We treat the personal data associated with Feedback as described in our Privacy Policy.

7. Reviews & user content

You retain ownership of the reviews and other content you submit ("User Content"), but you grant us a non-exclusive, worldwide, royalty-free license to store, display, reproduce, and feature it in connection with the Services. You represent that you have the rights to your User Content and that it is not unlawful, infringing, defamatory, or otherwise objectionable. We may moderate, decline to publish, or remove User Content at our discretion.

8. Acceptable use

You agree not to:

  • use the Services for any unlawful, harmful, or abusive purpose;
  • attempt to gain unauthorized access to, probe, or disrupt the Services, their security, or other users' data;
  • scrape, overload, or use automated means to access the Services in a way that burdens our infrastructure;
  • redistribute alpha builds or reverse engineer our software (see Section 5);
  • post infringing, deceptive, or harmful content.

9. Intellectual property

The Services — including our games, software, builds, site, branding, logos, text, and other content (excluding your User Content) — are owned by Sheelix LLC or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial use. All rights not expressly granted are reserved.

10. Third-party services

The Services integrate with third parties (for example Twitch, Google/YouTube, TikTok, Instagram, Steam, Stripe, Cloudflare, and our email provider Resend). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Paid Cliplix subscriptions, where offered, are handled on clips.sheelix.com via Stripe and are subject to the terms presented there.

11. Disclaimer of warranties

The Services, and in particular any alpha or pre-release software, are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of data loss.

12. Limitation of liability

To the maximum extent permitted by law, Sheelix LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Services. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the twelve months before the claim or USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Sheelix LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your User Content or Feedback, or your violation of these Terms or applicable law.

14. Suspension & termination

We may suspend or terminate your access to the Services at any time, including for violations of these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination (such as intellectual property, Feedback license, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Services will be the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

16. Changes to these terms

We may update these Terms from time to time. Material changes will be noted by updating the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
